Hartley Neighborhood Association Bylaws

1. Name, Boundaries, Purpose

The name of this organization shall be the Hartley Neighborhood Association. The boundaries of the Hartley Neighborhood shall be: 27th Street to 33rd Street; "O" Street to Missouri Pacific Railroad; 33rd Street to 48th Street; and Vine Street to "O" Street.

The purpose of the Hartley Neighborhood Association is to maintain the Hartley area as a "good place to live" and to improve the physical appearance of our neighborhood. Further, the Hartley Neighborhood Association shall maintain an interest in charitable, educational, and scientific functions consistent with this purpose.

2. Membership and Voting

Voting membership shall be open to persons living in or owning property in the area and to any other person concerned with promoting the purposes of the organization. Each voting member in good standing is entitled to one vote.

Non-voting affiliate membership shall be open to any individual, business or group wishing to support the Hartley Neighborhood Association.

Any member may resign by filing a written resignation with the Treasurer.

By an affirmative vote of two thirds of all members of the Board of Directors any member may be suspended or expelled after an appropriate hearing.

The passage of any measure put to a vote of the general membership shall be determined by a simple majority vote of those members present.

3. Civil Rights

The organization shall comply with Title I of the Civil Rights Act of 1964, whereby no person shall on the grounds of race, color, sex, religion, national origin, age, marital status, or sexual preference be excluded from participation in, be denied the due benefit of equal opportunity, or be subjected to discrimination under any program or activity conducted by the organization.

4. Dues

The dues for affiliate and voting members shall be due and payable on January first of each year, the amount of which shall be specified by the board of Directors.

5. Fiscal Year

The fiscal year of the Hartley Neighborhood Association shall begin on the first day of January and end on the last day of December of each year.

6. Meetings of the Membership

Meetings shall be called by the Executive Committee which shall notify the membership at least one week in advance. An annual meeting of the membership shall be held in March or April for the purpose of electing the Board of Directors.

7. Election of the Board of Directors

The Board of Directors shall consist of at least 24 but not more than 36 people elected at large from the membership. Each person elected to the Board of Directors shall serve for two years. One half of the existing members but no more than eighteen shall be elected annually. Newly elected members of the Board of Directors shall assume the duties of office at the close of the annual meeting.

Vacancies on the Board of Directors shall be filled through appointment by the President of the Association subject to the approval of a majority of the Board of Directors.

8. Election of Officers

The officers of the organization shall consist of President, Vice-President, Secretary, and Treasurer. Officers shall be elected annually at the first board meeting following the annual election of the Board of Directors. Officers shall be elected by a majority vote of the Board of Directors.

9. Duties of the Board of Directors

The Board of Directors shall have the power to conduct the affairs of the association between meetings of the membership.

10. Conflict of Interest

Under no circumstances may a member of the Board of Directors serve in a position or perform any function which is paid by the Board of Directors.

11. Duties of the Officers

The President shall have executive authority and supervision over the activities of the organization within the scope of the Bylaws; shall preside at all meetings of the organization, the Executive Committee, and the Board of Directors; shall appoint the chair people of all committees and delegate assignments not otherwise provided for; shall report at the annual meeting of the membership on the activities of the organization; and one month prior to annual meetings of the membership, the President shall appoint a nominating committee to recommend nominations for election of new Directors.

The Vice-President shall assume the duties of the President in the event of absence, incapacity, or resignation of the President and in addition shall carry out assignments delegated by the President.

The Secretary shall record the proceedings of all meetings of the organization, the Board of Directors, and the Executive Committee; be custodian of all these records; and shall have a copy of the organization Bylaws available at all meetings for reference.

The Treasurer shall receive all membership dues, Urban Development Department funds, contributions proceeds of fund-raising activities, and monies from any and all other sources whatsoever; be custodian of all funds of the organization; maintain adequate financial records; deposit all monies received for the organization in a bank regularly in an account or accounts opened at the direction of the Board of Directors; pay all authorized bills; disburse funds as directed by the Board of Directors; make financial reports at the meetings of the Board of Directors or general membership as required; and make all financial reports as required to governmental bodies and agencies.

12. Executive Committee

The Executive Committee shall consist of the four officers and three members at large elected by the board of Directors from their membership. The duties of the Executive Committee shall include;

  1. formulate an agenda for the meetings of the Board of Directors and for general meetings of the membership subject to the approval of the Board of Directors.
  2. call meetings of the general membership providing notice at least one week in advance.
  3. act upon matters requiring immediate attention and report such actions to the Board of Directors at their next meeting.

13. Standing Committees

  1. Neighborhood Upkeep and Beautification

  2. Zoning — maintain awareness of potential zoning or other similar changes in the neighborhood.

  3. Communications — assist with typing, telephoning, addressing, and distribution of information to members.

  4. Church Liaison — work with the neighborhood churches in developing programs of interest to the neighborhood.

  5. School Liaison — maintain communication with public and parochial schools about future planning for Hartley and Sacred Heart Schools.

  6. Hartley Business Liaison — to work with Hartley business persons to help maintain small businesses in the neighborhood.

  7. Public Relations — inform all news media and other neighborhoods about all pertinent information about the neighborhood.

  8. Planning — formulate and submit to the Board of Directors for approval an ongoing plan of action for the Association.

The activities and accomplishments of each standing committee shall be reviewed annually by the Board of Directors. Standing committees may be dissolved by the Board of Directors with a vote of two thirds of the board members present.

14. Rules

The organization shall follow Robert's Rules of Order to maintain order in its meetings. Issues shall be decided by a simple majority except where stated otherwise above.

15. Amendments to Bylaws

The above articles may be amended at any general or annual meeting of the Association by a simple majority vote of those members present and eligible to vote.
